1. Acceptance of Terms

By accessing or using MerchantShield ("the Service"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service.

2. Description of Service

MerchantShield provides AI-powered compliance auditing, monitoring, and remediation tools for online stores, with a focus on Google Merchant Center compliance. The Service includes automated store audits, issue detection, auto-fix capabilities, appeal text generation, and compliance monitoring.

3. No Guarantee of Results

IMPORTANT: MerchantShield provides tools and recommendations to help you meet published compliance requirements. We do not control, influence, or guarantee any decisions made by Google, Google Merchant Center, or any other third-party platform.

Specifically:

  • We cannot guarantee that your Google Merchant Center account will be reinstated after a suspension
  • We cannot guarantee that your account will not be suspended in the future
  • We cannot guarantee that following our recommendations will result in any specific outcome from Google
  • Google's review processes are proprietary and can change at any time without notice

    • Our tools are based on publicly available Google policies and industry best practices. The final decision on account status rests entirely with Google.

    4. Account Registration

    You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your account credentials and for all activity under your account.

    5. Subscription and Billing

  • Subscriptions are billed monthly on the date of initial purchase
  • All plans auto-renew unless cancelled before the next billing date
  • Cancellation takes effect at the end of the current billing period
  • No refunds are provided for partial months
  • Credits included in your plan do not roll over between billing periods
  • Additional credit packs are one-time purchases and do not expire

    • 6. Acceptable Use

    You agree not to:

  • Use the Service for any unlawful purpose
  • Attempt to reverse-engineer or extract our audit algorithms
  • Share account credentials with unauthorized parties
  • Use the Service to submit false or misleading appeals to Google
  • Exceed reasonable usage limits or abuse API connections

    • 7. Store Access and Modifications

    When you connect your Shopify store and enable auto-fix:

  • You authorize MerchantShield to read store data (pages, products, themes)
  • You authorize MerchantShield to create or modify pages, theme files, and product data
  • All modifications are logged and can be reviewed in your dashboard
  • You can disable auto-fix at any time

    • You are ultimately responsible for all content on your store, including content created or modified by MerchantShield's auto-fix engine.

    8. Intellectual Property

    The Service, including its algorithms, interface, and documentation, is the intellectual property of MerchantShield. Your audit reports and store data remain your property.

    9. Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY LAW, MERCHANTSHIELD SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, LOSS OF PROFITS, OR LOSS OF BUSINESS, ARISING FROM YOUR USE OF THE SERVICE.

    Our total liability for any claim arising from the Service shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

    10. Indemnification

    You agree to indemnify and hold harmless MerchantShield from any claims, damages, or expenses arising from your use of the Service, your store content, or your violation of these Terms.

    11. Termination

    We may suspend or terminate your account if you violate these Terms. You may cancel your account at any time through the billing portal.

    12. Governing Law

    These Terms are governed by the laws of the United States. Any disputes shall be resolved through binding arbitration.

    13. Changes to Terms

    We may update these Terms from time to time. Continued use of the Service after changes constitutes acceptance of the updated Terms.
